Some include waiting too long to form an entity, not documenting agreements between multiple owners, failing to issue equity interests in accordance with legal requirements, and unnecessarily exposing the founders to personal liability.

Presenters: Stephanie Wilusz and Brit Peterson, Staff Attorneys, Penn State Entrepreneur Assistance Clinic
Stephanie was a business and estate planning lawyer with a large law firm in State College for several years before joining the Entrepreneur Assistance Clinic. She also teaches about limited liability companies and other unincorporated associations at Penn State Law.
Brit joined the Entrepreneur Assistance Clinic in 2021 after graduating from Penn State Law to launch the Clinic’s Underserved Small Business Legal Services Program, which counsels clients on resources available for underserved small businesses.
